1. Acceptance of Terms


These Terms of Service ("Terms") govern your access to and use of the website located at https://www.joinunveil.com (the "Website"), the Unveil platform, and any related software, applications, APIs, integrations, or services (collectively, the "Services") provided by Unveil UXR Corp. ("Unveil," "we," "our," or "us").
 

By accessing or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity and its authorized users.
 

If you do not agree to these Terms, you may not access or use the Services.
 

We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date above. By continuing to access or use the Services after the revised Terms become effective, you agree to the updated Terms.

2. Eligibility

The Services are intended for use by businesses and individuals acting on behalf of businesses. By using the Services, you represent that you are legally able to enter into a binding agreement and, if applicable, have the authority to bind the organization you represent to these Terms.

3. Accounts and Security
 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access to or use of your account or any other security incident.
 

You agree to provide accurate, current, and complete account information and to keep that information up to date.
 

We may suspend or disable accounts that violate these Terms or that we reasonably believe present a security risk to the Services or other users.

4. License and Permitted Use
 

Subject to these Terms and your compliance with them, Unveil grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your internal business purposes. The Services may be used only by your authorized employees, contractors, and other personnel acting on your behalf.
 

Except as expressly permitted by these Terms, you may not:
 

  • modify, copy, or create derivative works of the Services;

  • reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services;

  • sell, sublicense, lease, rent, or otherwise make the Services available to third parties;

  • access the Services to build or support a competing product or service;

  • remove or alter any proprietary notices or branding contained in the Services; or

  • use the Services in any manner that violates applicable law or these Terms.


All rights not expressly granted to you are reserved by Unveil.

5. Customer Data
 

As between you and Unveil, you retain all right, title, and interest in the data, information, files, research materials, participant information, survey responses, interview data, and other content that you submit to or process through the Services ("Customer Data").
 

You grant Unveil a limited, non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Data solely as necessary to provide, maintain, secure, improve, and support the Services and to comply with applicable law.

You represent that you have all necessary rights and permissions to provide Customer Data to Unveil and to use the Services in accordance with applicable law.
 

You are responsible for the accuracy, quality, legality, and integrity of Customer Data and for ensuring that your use of the Services complies with applicable privacy and data protection laws.

6. Acceptable Use
 

You agree not to use the Services to:
 

  • violate any applicable law or regulation;

  • infringe the intellectual property, privacy, or other rights of any person or entity;

  • upload, transmit, or distribute malicious code, viruses, or other harmful material;

  • interfere with or disrupt the integrity, performance, or security of the Services;

  • attempt to gain unauthorized access to the Services, other accounts, or related systems or networks;

  • use automated tools to access the Services in a manner that exceeds reasonable usage or circumvents technical limitations;

  • collect, harvest, or otherwise obtain personal information or other data from the Services without proper authorization or where prohibited by applicable law;

  • send unsolicited communications, spam, or unauthorized advertising through the Services; or

  • use the Services for any unlawful, fraudulent, abusive, or misleading purpose.
     

We reserve the right to investigate suspected violations of these Terms and to suspend or terminate access to the Services where appropriate.

7. AI Features
 

The Services may include artificial intelligence ("AI")-powered features that assist with participant identification, research operations, workflow automation, content generation, analysis, and other functionality.
 

AI-generated outputs may contain inaccuracies or omissions and are provided for informational purposes only. You are solely responsible for reviewing and validating AI-generated outputs before relying on them.
 

Unless otherwise agreed in writing, Unveil will not use your Customer Data to train publicly available or general-purpose artificial intelligence models.
 

Additional information regarding our use of AI, including our AI practices and commitments, is available in our AI Transparency Statement, which is incorporated into these Terms by reference.

8. Fees and Payment
 

Certain Services require payment of subscription fees or other charges as specified in your applicable order, subscription plan, or other agreement with Unveil.
 

You agree to pay all applicable fees when due. Unless otherwise stated, all fees are non-refundable and do not include applicable taxes, duties, or similar governmental charges. You are responsible for paying such taxes, except taxes based on Unveil's income.

If payment is not received when due, we may suspend or terminate your access to the applicable Services after providing reasonable notice where practicable.
 

We reserve the right to modify our pricing or introduce new fees upon reasonable notice. Any changes will apply prospectively and will not affect fees already paid for the current subscription term unless otherwise agreed.

9. Intellectual Property
 

The Services, including all software, designs, interfaces, text, graphics, logos, trademarks, documentation, and other content provided by Unveil, are owned by or licensed to Unveil and are protected by applicable intellectual property laws.
 

Except for the limited rights expressly granted under these Terms, no ownership or other rights in the Services are transferred to you.
 

If you provide suggestions, ideas, feedback, or recommendations regarding the Services, you grant Unveil a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate such feedback into the Services without restriction or compensation to you.

10. Privacy and Security
 

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
 

We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data from unauthorized access, disclosure, alteration, or destruction.
 

While we strive to maintain the security and availability of the Services, no method of electronic transmission or storage is completely secure, and we cannot guarantee that the Services will be uninterrupted or free from security incidents.

11. Third-Party Services
 

The Services may integrate with or enable access to third-party products, services, or websites.
 

Your use of any third-party service is governed solely by the terms and privacy policies of the applicable third party. Unveil does not control and is not responsible for the availability, functionality, security, or performance of third-party services.
 

If you choose to enable a third-party integration, you authorize Unveil to exchange Customer Data with that third-party service as necessary to provide the requested integration.

12. Suspension and Termination
 

We may suspend or terminate your access to the Services immediately if we reasonably believe that:
 

  • you have violated these Terms;

  • your use of the Services poses a security risk to Unveil, other customers, or third parties;

  • continued access may expose Unveil or others to legal liability; or

  • payment for the Services remains overdue after reasonable notice.


Upon termination, your right to access and use the Services will immediately cease.
 

Termination of these Terms does not relieve either party of any obligations that accrued prior to termination. Any provisions that by their nature should survive termination, including those relating to intellectual property, payment obligations, disclaimers, limitation of liability, dispute resolution, and governing law, shall survive.

13. Disclaimers
 

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNVEIL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
 

UNVEIL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR OUTPUTS PROVIDED THROUGH THE SERVICES.

14. Limitation of Liability
 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNVEIL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNVEIL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO UNVEIL FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
 

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the above limitations shall apply only to the extent permitted by applicable law.

15. Governing Law and Dispute Resolution
 

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
 

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and each party irrevocably submits to the personal jurisdiction and venue of those courts.
 

Nothing in these Terms prevents either party from seeking temporary or permanent injunctive or equitable relief to protect its intellectual property rights.

16. General Provisions
 

Entire Agreement. These Terms, together with our Privacy Policy and any applicable Order Forms or other written agreements between you and Unveil, constitute the entire agreement between the parties regarding the Services. If there is any conflict between these Terms and a separately executed written agreement between you and Unveil, the written agreement will prevail.


Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
 

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets.
 

Force Majeure. Unveil shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet or telecommunications failures, cyberattacks, or other events beyond our reasonable control.
